Paspor Terms of Service

1. Scope & Acceptance

These Terms of Service (“Terms”) apply to your use of Paspor’s website, free PoC sprint, MVP development, GTM marketing, and branding services (collectively, the “Services”). By accessing or using any part of our Services—whether browsing our site, submitting a PoC application, or engaging in a paid project—you agree to these Terms. If you represent a company or organization, you warrant you have authority to bind that entity. If you do not accept these Terms, please discontinue use immediately.

2. Your Services & Agreements

  1. Free PoC Sprint. We offer an initial Proof‑of‑Concept sprint at no cost to qualified applicants. Eligibility and scope are determined by our screening criteria, and Paspor retains ownership of all PoC artifacts until a paid engagement is agreed.
  2. Paid Engagements. MVP development, GTM marketing strategy, and branding services are provided under separate statements of work or client agreements that specify deliverables, fees, payment schedule, and revision rounds. Those documents override these Terms only to the extent of any direct conflict.
  3. NDA & Confidentiality. Before we share sensitive details, we may require you to sign a mutual Non‑Disclosure Agreement. All shared project materials and feedback are covered under that NDA.

3. Changes to Terms

We may update these Terms at any time. If changes are material, we’ll notify you via email or a site banner at least 10 days before they take effect. Continued use after the effective date constitutes your acceptance. If you disagree, you must stop using our Services and request termination in writing.

4. Eligibility & Accounts

  • Who Can Use Our Services. usinesses or individuals working on business projects, at least 18 years old, with the authority to contract.
  • Account Registration. You must provide accurate information and keep it current. You’re fully responsible for any activity under your account and must notify us immediately of any unauthorized access.

5. Payment & Billing

  • Paid Projects. Unless otherwise agreed, invoices are 50 % deposit on start, 40 % at midpoint, and 10 % upon final delivery.
  • Retainers & Subscriptions. Billed in advance monthly or quarterly. Early termination does not entitle you to a refund of unused months.
  • Late Payments. Invoices overdue by more than 7 days may incur interest at 1.5 % per month.

6. Intellectual Property

  • Your IP. You retain ownership of all pre‑existing intellectual property you provide.
  • Our Deliverables. Upon full payment, you receive a perpetual, non‑exclusive license to use the final deliverables for your business purposes. We retain ownership of our underlying tools, code libraries, and methodologies.
  • Portfolio Use. Unless you opt out in writing, Paspor may showcase anonymized versions of your final work in our portfolio or marketing.

7. Confidentiality

Both parties agree to keep each other’s confidential information secret, using at least reasonable care. This obligation survives termination of any project or these Terms.

8. Termination & Suspension

Paspor may suspend or terminate your access if you materially breach these Terms, fail to pay, or provide false information. On termination, all outstanding fees become immediately due.

9. Limitation of Liability

Paspor’s total liability to you for any claim arising out of or relating to these Terms or the Services will not exceed the total fees paid by you in the prior 12 months. We are not liable for indirect, incidental, or consequential damages.

10. Dispute Resolution & Governing Law

These Terms are governed by the laws of Tunisia. Any dispute will be resolved in Tunisian courts. If any provision is found unenforceable, the remainder will continue in full force.
